Services are provided subject to these Terms and any additional agreements executed between the Company and the client.
Use of Website
Permitted Use
You may use our website for lawful purposes only, including:

- Requesting security assessments or consultations

Prohibited Use

Requests for security assessments or service quotes do not obligate either party to enter into a service agreement. Free security assessments are provided for informational purposes without obligation to purchase services.
Modifications to Services
We reserve the right to modify, suspend, or discontinue any service with reasonable notice to affected clients. We will work with clients to minimize disruption from service changes.
Payment Terms
Service Fees
Security service fees are established in individual service agreements. Payment terms typically include:
- Hourly rates for security officer services
- Minimum service periods or shift lengths
- Overtime and holiday rate premiums
- Invoicing schedule (weekly, bi-weekly, or monthly)
- Payment due dates (typically net 15 or net 30 days)
Late Payments
Late payments may incur:
- Late payment fees (1.5% per month or maximum allowed by law)
- Suspension of services for accounts 30+ days past due
- Termination of services for accounts 60+ days past due
- Collection costs and attorney fees for delinquent accounts
Disputed Charges
Clients must notify us in writing of disputed charges within 15 days of invoice date. Undisputed portions of invoices remain due as scheduled.
Cancellations and Termination
Client Cancellation
Clients may cancel or modify service requests subject to:
- 24-48 hours notice for scheduled shifts or assignments
- 7 days notice for ongoing service agreements (unless agreement specifies otherwise)
- Cancellation fees may apply for insufficient notice as specified in service agreements
Company Termination
We may suspend or terminate services immediately if:
- Client fails to pay invoices when due
- Client violates terms of service agreement
- Safety concerns arise for our officers
- Client requests services outside our scope or capabilities
- Client engages in illegal activities
Effect of Termination
Upon termination:
- Client remains obligated to pay for services rendered through termination date
- Company will return client property and confidential information
- Provisions regarding confidentiality, indemnification, and limitation of liability survive termination
Insurance and Indemnification
Our Insurance
Semper Secure maintains:
- General liability insurance
- Workers’ compensation insurance
- Professional liability insurance (as applicable)
- Automobile insurance for company vehicles
- Bonds and insurance meeting New Jersey and Pennsylvania requirements
Certificates of insurance are available upon request.
Client Indemnification
To the fullest extent permitted by law, clients agree to indemnify, defend, and hold harmless Semper Secure, its officers, employees, and agents from claims, damages, losses, and expenses (including attorney fees) arising from:
- Client’s negligence or willful misconduct
- Defects in client premises or equipment
- Client’s violation of laws or regulations
- Actions or omissions outside the scope of our security services
- Third-party claims related to client operations
This indemnification does not apply to claims arising solely from our negligence or misconduct.
Limitation of Liability
Scope of Security Services
Security services are designed to deter, detect, and respond to security incidents but cannot guarantee prevention of all criminal activity, property damage, or personal injury. Criminal acts may occur despite the presence of professional security measures.
Limited Liability
To the maximum extent permitted by law, Semper Secure’s liability for any claims arising from security services is limited to:
- The amount of fees paid by the client for services during the 12 months preceding the claim, OR
- $100,000, whichever is less
This limitation applies to all claims, whether based on contract, negligence, strict liability, or any other legal theory.
Exclusion of Damages
Semper Secure shall not be liable for:
- Indirect, incidental, or consequential damages
- Lost profits or business opportunities
- Loss of data or information
- Punitive or exemplary damages
These exclusions apply even if we have been advised of the possibility of such damages.
Exceptions
The limitations of liability do not apply to:
- Gross negligence or willful misconduct
- Personal injury or death caused by our negligence
- Violations of applicable law that prohibit limitation of liability
- Matters covered by insurance we are required to maintain
Intellectual Property

- Authorized by the client in writing
- Information becomes publicly available through no fault of ours
Employment and Background Checks
Job Applicants
By submitting an employment application, you:
- Authorize background checks and verification of information provided
- Represent that application information is truthful and accurate
- Understand that false information may result in application rejection or employment termination
- Consent to contact with references and previous employers

Client Obligations
Clients are responsible for complying with all applicable laws and regulations related to their operations and use of security services.
Force Majeure
We are not liable for failure or delay in performing obligations due to circumstances beyond our reasonable control, including:
- Natural disasters, severe weather, or acts of God
- War, terrorism, civil unrest, or government actions
- Strikes, labor disputes, or supply chain disruptions
- Public health emergencies or pandemics
- Utility failures or telecommunications outages
During force majeure events, obligations are suspended to the extent affected, and we will make reasonable efforts to resume performance.
Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. Invalid provisions shall be modified to the minimum extent necessary to make them enforceable while preserving original intent.
Entire Agreement
These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and Semper Secure regarding use of our website and services, superseding any prior agreements or understandings.
Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.
Assignment
